【Terms Of Service】

*By commissioning Rautic, you (the client) agree to the following terms of service. Please read carefully and contact Rautic for any questions and concerns. Any terms that are violated will result in being blacklisted!!!

【Agreement】🔹Must be of legal age of US state (18+ yrs old)assumes full responsibility for any money exchanged for this service.
🔹Must have usage rights to provided materials.
🔹Must provide credits for third-party references.
🔹Responsible for understanding usage policies.
🔹Agree to provide the necessary information and discuss additional timeframe may result in project termination.【General】🔹Client assume responsibility to contact and acquire any requested materials by Rautic from other other (such as model artist) who created the materials provided to Rautic.
🔹Prohibited to use/ai-train/upload/sell my work as non-fungible tokens (NFTs) anywhere.
🔹Credit is required to be clearly written in an easy to see place.** This should be your Twitter/SNS bio and about page on your channel, etc.
🔹I am allowed to post the commission on my social media + use as a sample. Please inform me if you wish to keep the commission private until debut!
🔹All parties must not disclose each other information to third parties without a written note of consent【Pre-Project】🔹Rautic reserves the right to refuse any project.
🔹Invoices are due upon receipt. Failure to pay within the agreed time-frame may result in project termination.【Process】🔹Regular, animated & Live2D Commissions status and all related announcements are made through Twitter/X, Discord Server & Bluesky!
🔹 My Live2D Commissions are NOT first-come first served. There will be 1–4 slots accepted for each batch
🔹 Application forms are released on my Twitter/X, Discord Server & Bluesky.
🔹 If permission is given to livestream working on your commission, there is a possibility that I will test the tracking/movements of your model on stream.
🔹 If privacy for any commission is desired, the fee is adjusted to lowered if the client is open to having certain aspects of the commission to be private (i.e. streaming/wips ok but have certain toggles be private). If only the client name needs to be private, there is no fee.If you are picked:
► You will be contacted through discord DMs and sent a friend requests within 1–3 days after the forms close, If client doesn't communicate for more than 7 days at any point of the commission, I have the right to continue w/o client's input or terminate the commission
► Client must provide a clear front faced reference for their character. As well as own the rights to the character design.
► During each stage of commission 3 rounds of minor revisions are free
If the client has previously Ok'd parts of the commission, those parts will no longer count as minor revisions if the client wishes to change them later on. Additional revisions will be subject to a fee.
►Please also provide timely feedback/PSD. Edits to keep the project on schedule.If you are Not Picked:
► You will not be contacted, Please look out for the closing notices on Twitter/X, Discord Server & Bluesky!🔹 If there is no response to any contact attempts in regard to slot allocation/payment after 72 hours, the slot will be automatically revoked/given to someone else/postponed*. (only if time allows for the artist)• Turnaround time: Expect 4–6 weeks for rig-only and 8–12 weeks for model + rig. This does NOT include extra time required for extra outfits / hairstyles. This window begins when the project is started, NOT when given a slot! ▬

For regular illustration commissions (excludes skebs), Clients will be given 2 WIPs to approve: 1. To pick possible poses for the piece.
2. Approval of final sketch before coloring stage.【Workflow】🔹Client confirms the final quote, as well as project timeline• Invoice is sent to Client (via PayPal.)
🔹 Invoice is paid and work on the commission begins
🔹 Progress videos or pictures are sent to the client over the work period and to the preferred platform dm system. Adjustments are made according to any feedback
🔹Once the model is complete, a (.zip) file with the runtime model folder for Vtube Studio is sent to the client.
^{If payment was done 50/50 the client will receive the files after paying the remaining owed amount.}
🔹If any small adjustment that are desired by the client after trying out the model, these will be fixed and a new version will be provided for a update.
🔹If tracking setting require any adjustments, assistance will be provided to the client.
🔹If client wishes to have any additions or new parts/features added to the model at a later time, scheduling can be discussed. Current commissions will be prioritized over any adjustments/additions for past models.【Communication】🔹Project process through Rautic are to keep all communication about the project within email exchanges. ^{(Discord method coming soon)}
🔹Slow communication may result in a project extending past the initial deadline, as some work will be halted until feedback is received.
🔹Continued lack of communication may result in the project being archived unless we are informed in advance. A revised deadline will have to be established to account for lost time. Repetition of this behavior will result in project cancellation without a refund.
🔹In case of an emergency or unforeseen circumstance that prevents the client from responding for a long period, please notify Rautic as soon as possible. Rautic will continue with what they can on the project and await your return. Should the situation impact future projects, those projects will take precedence, and a new deadline will be established
🔹If client fails to maintain a method of communication, it is the client's responsible to promptly re-establish contact with Rautic. Rautic will make reasonable efforts to reach out, but ultimately it is the client's responsibility to ensure there is an avenue for communication. This is to prevent any disruption to the project's progress.【Revisions】🔹4 minor revisions are available for free. Additional revisions will be invoiced with the final cost determined but the time and effort required for the work.
🔹"Laundry listing." adjustments count individually.
🔹Technical issues are not part of the revision process and will not incur a fee.
🔹Project's timeline may be extended due to excessive revisions.
🔹Bulk revisions requested at the end of the project will incur a significant fee. Please provide any feedback through-out the duration of the project!
🔹After the project is completed, revisions will no longer be available. There is a two-week period to fix any bugs, errors, or formatting issues.^{Revisions will only address subjective or stylistic changes that are non-essential. Issues such as missing details, bugs, glitches, clipping problems, audio issues, or incorrect formatting in deliverables will not be classified as revisions, as these need to be resolved for the deliverables to function as intended.}【Payment】🔹Client must make payments through invoices provided by Rautic through PayPal.
🔹Initial payment of the minimum of 50% is expected to be made within 3 days of being contacted to start the project (Not when given a slot!), the slot may need to be postponed (only if time allows)/given up otherwise
🔹Split payments for the final 50% may be discussed. Final deliverables will only be sent upon receiving full payment.
🔹Payment can be made fully upfront for projects, or 50% is due upfront, and 50% due near completion.【Refunds】🔹Under normal circumstances, Rautic cannot offer a refund once work has commenced on the project. If Rautic or the Client is unable to complete the project, the client will receive a partial refunds and any deliverables based on the current progress of the project.
🔹Chargeback policy. The Client (you) agrees to not file a chargeback after the deliverables/work has been turned in. In the event of a chargeback, the Client loses all right to any work created, and Rautic gains the right to full profit from said work.
🔹Refunds will not be issued once a commission has been completed.
🔹There are no full refunds under normal circumstances!【File Sharing, Redistribution, Tampering, and licenses】🔹Project deliverables cannot be shared or resold without consent from Rautic. If assets are resold, the new owner must adhere to Rautic's terms of service
🔹Live2D, animated and illustration-related commissions may not be altered without written consent. This includes texture atlas/art mesh adjustments if the rigger is the artist of the model. The rigger would prefer to teach the client how to approach such alterations properly for color-altering toggles or alternative texture atlas swaps. Written permission from the artist is required.
🔹By default, all projects include a standard commercial license.
a) Standard commercial License
• Usage on social media, video, and streaming platforms
b) Extended commercial License
• [Base price x 1.5x = Ext. License cost] includes everything from the standard licenses.
• Grants production rights for digital and physical merchandise.
• For Live2D commissions, this does not include rights over the art if the artist is not the rigger. The client must discuss this with the model artist.【Project Files accessibility】🔹Project files are NOT given out under any circumstances. Access to project files such as CMO3, CAN3, AE, etc., will depends on the project's size and requires unanimous agreement from all involved parties. A substantial fee may be charged.【Showcasing】🔹Rautic will publish showcases of projects 3-months after completion.
🔹If a project is made public within the 3-month window, the showcase may be published concurrently or later. If NOT made public within 3-months, Rautic can post the showcase at their discretion.【Termination】🔹Rautic has the right to terminate a project if the client fails to comply with the terms, fails to complete payment, loses communication, or fails to provide necessary information or materials.
🔹If cutting notes are consistently overlooked, the project may be terminated early to prevent ongoing miscommunication with the third party involved, in such a case a refund will be issued.

► FOR MODEL COMMISSIONS - Please provide a clear, completed, front-facing design.

◙ No mood boards, no (only) decriptive text, No AI generative references, no colorless designs. Colored sketches are alright!

◙ Anything that requires me to design or fill in the blanks for you will NOT be considered. I do not offer CUSTOM character design works.

► FOR RIG-ONLY COMMISSIONS - Please provide models (psd.) must be rig-ready.

◙ PSD should be split in properly named + grouped layers (R/L accordingly), all layers should be drawn as a whole even if part of it is being overlapped. The model must be in default position. It also should be upright and centered, the face symmetry line should line up with canvas' center line.

◙ Artist do not need to draw out the full expressions, Only the extra assets are required (tears, heart pupils, angry mark, etc)
